These Terms of Use (“Terms”) govern your access to and use of the Americano website located at americano.design and any pages, features, content, forms, account functionality, shop, and other services made available through the website (collectively, the “Website”).
The Website is owned and operated by Americano LLC (“Americano,” “we,” “us,” or “our”).
By accessing or using the Website, you agree to these Terms. If you are using the Website on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.
1. ABOUT AMERICANO
Americano is a creative partner for liquor, wine, hospitality, and related brands. The Website provides information about Americano, our work, services and memberships; examples of past creative work; editorial content; opportunities to apply for membership or contact us; and, from time to time, products or other offerings available for purchase.
Use of the Website does not create a client, member, advisory, fiduciary, or other professional relationship between you and Americano.
Any membership, creative services, consulting, production, procurement, or other professional services provided by Americano are governed by a separate written agreement between Americano and the applicable client or member.
2. PERMITTED USE
You may access and use the Website for legitimate personal or business purposes consistent with these Terms.
You agree not to:
  • use the Website for any unlawful, fraudulent, deceptive, or unauthorized purpose;
  • interfere with, disrupt, damage, or circumvent any security or technical feature of the Website;
  • attempt to gain unauthorized access to the Website, accounts, systems, servers, or networks connected to the Website;
  • use automated systems, bots, scraping tools, crawlers, data-mining tools, or similar technologies to systematically access, copy, extract, index, or collect Website content without our written permission;
  • impersonate another person or entity or misrepresent your affiliation with another person or entity;
  • upload or transmit malicious code or other material designed to interfere with the operation of the Website;
  • use Website content in a manner that infringes the intellectual property, privacy, publicity, or other rights of Americano or any third party; or
  • use the Website or its content to create confusion regarding your affiliation with, endorsement by, or relationship to Americano.
We may restrict or terminate access to the Website if we reasonably believe it is being misused or these Terms have been violated.
3. AMERICANO INTELLECTUAL PROPERTY
Unless otherwise indicated, the Website and its original content, including Americano's name, logos, trademarks, service marks, visual identity, website design, layouts, graphics, photography commissioned or owned by Americano, illustrations, copy, articles, concepts, presentations, methodologies, systems, and other materials created by or for Americano are owned by or licensed to Americano and are protected by applicable intellectual property laws.
Your access to the Website does not grant you ownership of or any license to Americano's intellectual property except for the limited right to view and use the Website for its intended purpose.
Without Americano's prior written permission, you may not reproduce, republish, distribute, modify, create derivative works from, commercially exploit, sell, license, publicly display, or otherwise use Americano-owned Website content except as permitted by applicable law.
Americano's trademarks, logos, trade dress, and other brand identifiers may not be used in a manner that suggests sponsorship, endorsement, affiliation, or approval without our prior written consent.
4. CLIENT WORK AND THIRD-PARTY INTELLECTUAL PROPERTY
The Website includes examples of branding, packaging, photography, artwork, products, campaigns, and other creative work developed for Americano clients and collaborators.
Certain names, logos, trademarks, product designs, photographs, artwork, packaging, trade dress, and other materials displayed in that work may be owned by Americano's clients, collaborators, photographers, artists, licensors, or other third parties.
Display of those materials in Americano's portfolio does not grant you any right or license to use them.
You may not copy, reproduce, imitate, adapt, distribute, commercially exploit, or otherwise use client or third-party intellectual property displayed on the Website without permission from the applicable rights holder.
5. MEMBERSHIP APPLICATIONS AND INQUIRIES
The Website may allow you to apply for Americano membership, request an invitation, join a waitlist, submit an inquiry, or otherwise express interest in working with Americano.
Submitting an application or inquiry does not guarantee acceptance, availability, a response, or the formation of a business relationship.
Americano may determine, in its discretion, whether a prospective client or member is an appropriate fit and whether capacity is available.
Information you provide through an application or inquiry must be accurate to the best of your knowledge.
Any services ultimately provided by Americano will be subject to a separate written agreement establishing the applicable scope, fees, responsibilities, intellectual-property rights, confidentiality obligations, and other terms of the relationship.
6. INFORMATION AND MATERIALS YOU SUBMIT
The Website may allow you to submit information, messages, business details, documents, images, links, or other materials to Americano (“Submitted Materials”).
You represent that you have the right to provide any Submitted Materials you submit and that doing so does not violate another person's intellectual property, privacy, confidentiality, contractual, or other rights.
Submitting materials through the Website does not transfer ownership of those materials to Americano.
You authorize Americano to receive, store, review, reproduce internally, and otherwise use Submitted Materials as reasonably necessary to respond to your inquiry, evaluate a potential business relationship, provide requested Website functionality, or otherwise communicate with you.
Unless Americano has separately agreed in writing to confidentiality obligations, submission of information through a general Website form does not by itself create a confidential, fiduciary, or professional relationship.
If you need to provide confidential or commercially sensitive materials in connection with an existing Americano relationship, please use the communication or file-transfer method established for that relationship.
7. EDITORIAL AND INFORMATIONAL CONTENT
The Website may include articles, guides, commentary, research, observations, case studies, industry information, creative perspectives, and other editorial content.
This material is provided for general informational purposes only. Although Americano works extensively within the liquor, wine, hospitality, branding, packaging, marketing, and production industries, Website content does not constitute legal, regulatory, tax, accounting, financial, investment, or other licensed professional advice.
You are responsible for obtaining appropriate professional advice and independently evaluating information before making business, legal, regulatory, financial, or other decisions based upon it.
Industry conditions, regulations, costs, technologies, vendors, market data, and other information may change after content is published, and Americano does not guarantee that every piece of editorial content will remain current.
8. SHOP AND PRODUCT PURCHASES
The Website may allow you to purchase merchandise or other products from Americano.
Product descriptions, pricing, availability, quantities, and specifications may change without notice. We may limit quantities, correct errors, cancel orders, or refuse transactions where reasonably necessary.
Prices do not include taxes, shipping charges, duties, or similar charges unless expressly stated otherwise.
You agree to provide accurate billing, shipping, and contact information when placing an order.
Payment processing may be provided by a third-party payment processor and may be subject to that provider's applicable terms and privacy practices.
Shipping estimates are estimates only and are not guaranteed delivery dates unless expressly stated otherwise.
Returns, exchanges, refunds, cancellations, and other order-specific policies will be governed by any policies presented at checkout or otherwise posted in connection with the applicable product.

You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.

Americano does not control and is not responsible for third-party services, content, availability, security, or privacy practices.
Your interaction with a third-party service may be governed by that third party's own terms and policies.
A link to or reference to a third party does not necessarily constitute Americano's endorsement of that third party.
11. SEPARATE CLIENT AND MEMBERSHIP AGREEMENTS
If you or your organization enters into a membership, services, consulting, production, procurement, or other written agreement with Americano, that separate agreement governs the professional relationship between the parties.
If a provision of these Website Terms expressly conflicts with a provision of an executed written agreement between you or your organization and Americano regarding Americano's professional services, the executed written agreement will control with respect to those services.
12. WEBSITE AVAILABILITY AND CHANGES
We may update, modify, reorganize, suspend, restrict, or discontinue any portion of the Website at any time.
We do not guarantee that the Website will always be available, uninterrupted, secure, or error-free.
We may also correct typographical errors, inaccuracies, omissions, pricing errors, outdated information, or other Website content without prior notice.
13. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
AMERICANO DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
AMERICANO DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ALL CONTENT WILL BE COMPLETE, ACCURATE, CURRENT, OR SUITABLE FOR A PARTICULAR PURPOSE.
Nothing in these Terms limits warranties or obligations expressly provided in a separate written agreement between Americano and a client or member.
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMERICANO AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, OR LOSS OF GOODWILL ARISING FROM OR RELATED TO YOUR ACCESS TO OR USE OF THE WEBSITE.
Any limitations of liability contained in a separate written agreement between Americano and a client or member will govern that professional relationship.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
15. INDEMNIFICATION
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Americano and its owners, employees, contractors, and affiliates from claims, damages, liabilities, losses, and reasonable costs arising from your misuse of the Website, your Submitted Materials, your violation of these Terms, or your infringement of another party's rights.
16. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes to the Website, our business, or applicable legal requirements.
Revised Terms will be posted with an updated effective date. Where appropriate, we may provide additional notice of material changes.
Your continued use of the Website after revised Terms become effective constitutes acceptance of those revised Terms.
17. GOVERNING LAW
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except where applicable law requires otherwise.
